Mr. José Lupi specializes in energy, mining and cross-border M&A projects. He has over 10 years of experience advising on M&A, banking and finance, real estate, resources and infrastructure projects in Brazil, Macau SAR and Sub-Saharan Africa.

Mr. Lupi has represented state-owned enterprises, listed companies, privately-owned companies and private equity firms in their cross-border investments, M&As and joint venture transactions, covering a broad range of sectors including energy, resources, infrastructure, agribusiness, real estate, banking and finance and manufacturing. His practice focuses on representing PRC clients in structuring, negotiating and implementing outbound investments in the Belt and Road countries in Africa, Latin America and Portuguese speaking economies.

Mr. Lupi is good at handing cross-border transactions and is capable of assisting clients in negotiations over complex legal and business issues. He also serves as lead counsel to help clients close many large cross-border and -industry M&A transactions. His representative outbound transactions include:

Northeast Industries Group Co. Ltd on its acquisition of Delphi Automotive’s mechatronics business in Spain, Poland, Mexico and Brazil;

A PRC listed company on the negotiation, structuring and implementation of a landmark EPC contract for an offshore power transmission cable in Portugal;

A PRC listed company on the acquisition of a power transmission group in Portugal, Mozambique, South Africa and Spain;

A  SOE on the due diligence, regulatory advice, negotiation and structuring of a proposed equity investment in a gold mining project in Brazil;

An international mining group on the development of an integrated rail, port and iron ore mining project in Brazil;

Several privately owned PRC pharmaceutical groups on their outbound acquisitions and public tenders in Brazil;

A Hong Kong listed company on its due diligence, negotiation and structuring of a controlling equity investment in a coal mining project in northeast of Brazil;

A SOE on due diligence, regulatory advice, negotiation and structuring of a proposed equity investment in a coal mine and coal-fired thermal power generation and transmission project in Pakistan;

A SOE on the due diligence, regulatory advice, negotiation and structuring of a proposed equity investment in a RENOVAR solar project in Argentina

A PRC listed company on the negotiation and structuring of a proposed industrial joint venture in Cuba;

A SOE on the negotiation and structuring of an automotive joint venture in Angola;

A PRC listed real estate group on the due diligence, negotiation and structuring of a landmark real estate transaction in Angola;

A private PRC mining group on the establishment of a joint venture in Angola exploring opportunities to invest in diamond exploration concession; and

An international private real estate group on the disposal of its assets in Argentina.

Mr. Lupi has also advised many SOEs, multinational companies and private equity firms on acquisitions, foreign direct investments and joint venture transactions in Macau SAR, including local incorporation and licensing proceedings and negotiating, structuring and implementing local equity investments in the financial services sector, hospitality, gaming, retail, logistics, manufacturing, automobile, machinery, health care, construction and infrastructure. Mr. Lupi's meticulous and comprehensive coordination skills as the lead counsel have been full demonstrated in such complex cross-border transactions as:

assisting a SOE in bidding for a Macau bank;

assisting a leading Chinese bank in setting up a financial leasing company and handling relevant administrative licensing formalities;

assisting an international pharmaceutical corporation in its equity investment in a leading medical service provider;
